Article 1
Name

 

This organization shall be known as the Great Lakes Shrine Clown Units Association, and may hereinafter be referred to as THE ASSOCIATION, THIS ASSOCIATION, and/or THE GLSCUA.

 

ARTICLE 11
Purpose

 

Section A. The purpose of this organization shall be to promote and
Advance the interests of Shrine clowning and the Clown
Units which are constituent of the member temples of the
Great Lakes Shrine Association (GLSA), specifically those
In the states of Illinois, Indiana, Michigan, Ohio, Wisconsin,
And the Province of Ontario, Canada. This objective shall
Be to develop fraternal relations with the Member Units in
The GLSA by promoting better understanding and cooperation:
To afford opportunities for exchanging ideas, and experiences;
To advance the tradition of Shrine Clowning and, the excellent
Reputation of the Shrine and its philanthropy.

 

Section B. Furnish assistance in the formation of new Clown
Units so they may more rapidly gain acceptance
With their Potentates; to acquire a stature which will
Reflect credit on all Shrine Clowns, particularly the
Members of the GLSCUA: to avoid the pitfalls, frustrations, and mistakes inherent in the learning
Process of any new avocation.

Section C. To earn member Clown Units respect, cooperation
And acceptance. Their manifest heritage as an
integral part of any completely balanced shrine
Parade or promotional event.

Section D. To keep all Units informed of Imperial
Restrictions and our own restrictions dictated
By good taste and safety. Negotiate and discuss
With the Imperial Council any edict or
Restriction which may seem unwarranted or
Severe. This shall be the duty of the Executive
Committee.

Section E. Publication and Distribution of
Education and other information

1. To prepare and distribute a
Periodical, pamphlet or brochure,
Promulgating minimum standards
Of dress, decorum and activities.

2 To encourage an exchange of ideas,
including clown acts, methods and
types of make-up, and any other such
pertinent information which may enable
GLSCUA members to be more effective
Clowns.

3. To recognize the need to exchange ideas,
Acts, methods and types of make-up
information.

4. To encourage entertainment activities to
Children's hospitals, the infirm, etc.

5. To provide entertainment at social or fund
raising functions as requested by the Potentates
of our Member Temples.

6. Each Member Unit should be encouraged to
Contribute such educational information as
often as possible to assist in the achievement
of this objective.

7. The publication of this periodical shall be the
Duty of the Committee for Information and
Education.

Section F Shoulder Patches

1. The Association shall provide to its
Members (at cost), a shoulder patch
Bearing the embroidered logo of the
GLSCUA.

2. Patches shall be permanently affixed
And worn on the left sleeve of the clown
Costume approximately two inches from
the shoulder seam.

3. Members competing at any level of competition
Are required to have said patch displayed as
prescribed above.

4. All members of the GLSCUA should
remain cognizant of the fact that these
patches are a means of identification to
parade marshals and others. Patches
should not, therefore, be loaned or otherwise
distributed to anyone not entitled to wear
The same

 

Section G Absence of the shoulder patch affixed
To the left shoulder, or sleeve of his
Costume shall disqualify the individual
From competition, or to a share in the
Prizes. The director of each Clown Unit
Shall be responsible to the Association in
Assuring that every man in his Unit, during
Unit competition is a bona fide member of
Said Unit and the Great Lakes Shrine Clown

Article 111
Membership

Section A The membership of this organization shall be
Comprised of the Shrine Temple Clowns Units
In Article 11, Section A. The temple must be
In good standing with the Great Lakes Shrine
Association to qualify its Clown Unit for
Membership in the GLSCUA.

Section B Each member Clown Unit shall be
Apportioned official representative (s) or
Delegate (s) as follows:

1. Each Clown Unit shall select only active
Members as official representatives for
their unit.

Each member Clown Unit shall be entitled
To two (2) representatives.

(a) Member Units shall be allowed more
Than two (2) representatives only when
Qualifying under Article 111, Sections 3,
5, and 6.

(b) Upon presentation of the proper
Credentials, representatives qualifying
Under Article 111, Sections B. C. E. and
F. shall be seated at the annual meeting
As their Unit's voting delegate.

Section C. Officers of the GLSCUA elected as provided in
Article 1V. shall be representatives at large and
entitled to all the rights and privileges of elected
representatives. No member Clown Unit whose
representative (s) is (are) elected to an Association
office shall be deprived of representation as
apportioned herein.

Section D. All Past Presidents of the GLSCUA shall be representatives for a period not to exceed three (3)
Years commencing with the expiration of their

term as President. Each Past President under this
Section shall be entitled to all the rights and
Privileges of a voting delegate

Section E. The Executive Committee of the GLSCUA
May, by a two thirds (2/3) vote of the committee
Members present at any session, elect as
Emeritus Member of the Executive Committee,
Any delegate who has been a representative for
Five (5) consecutive years. Emeritus shall be
Entitled to all the rights and privileges of
Regular members.

Article 1V
Officers

Section A. The officers of this Association shall be President,
First Vice President, Second Vice President,
Sergeant at Arms, Secretary, Treasurer.

Section B. The officers designated in this article shall be
Elected by a majority vote of the voting delegates
At the annual meeting.

1. The Secretary and Treasurer shall not be
Members of the same Clown Unit.

(a) The Secretary and Treasurer shall keep separate and
complete duplicate records of all business and financial
reports of GLSCUA. These records shall be kept current.

(b) This provision is an attempt to preclude the loss of records
By accidental means, either to the officer or his property.

Section C. Term of Office

1. The term of office shall be (1) year and shall
expire when a successor is duly installed

2. In the event of the death or resignation of a
line officer during his term of office, the
remaining line officers shall advance as
governed by Section A of this article.

3. The President shall appoint a replacement (s)
to fill remaining vacancies created by line
officers.

 

4. In the event of the death or resignation of
Either the Secretary or Treasurer, the
President shall appoint a replacement.

Section D. Eligibility for office in this Association shall be
As follows:

1. Active membership in a member Clown Unit
in good standing in the GLSCUA.

2. No two (2) members from the same Temple, or Temple
Clown Unit may hold line offices at the same time.

 

Section E. Nominations, Endorsement and Electioneering

1. Nominations for officers shall be made at
the Annual Meeting.

2. Nominating speeches shall be limited to one
per candidate.

3. Nominating speeches may not exceed five (5)
minutes in length.

4. No seconding speeches shall be permitted.

5. A member Clown Unit may adopt
Resolutions endorsing one of its members
as a candidate for office. Such resolutions
may be sent to the various representatives
and/or other member Clown Units.

1. Resolutions shall be presented
During nominations.

6. Electioneering shall not be permitted during
The conduct of any officially called meeting.

7. Upon complaint of electioneering, the Executive
Committee shall meet and review the merits of
any such complaint.

1. A satisfactory finding of charges for
cause against any candidate accused
of electioneering shall disqualify him as
a candidate for any office in the
Association for the term in dispute.

2. A candidate disqualified under the terms of
this Article shall remain ineligible until the
next regularly scheduled election of officers
(one year hence)

3. For the purpose of this Article, the
definition of Electioneering shall include
but not be limited to the following:

(a) The use of any smear tactic
against another candidate for
office.

(b) Use of any means to unduly
influence the vote outcome either
for or against a particular candidate.

Article V
Duties of Officers

Section A. President

1. The President shall preside at all meetings,
Appoint all committees, and perform such
Other duties as ordinarily pertain to this office.

2. The President shall be a member ex-officio of
All committees.

Section B. First Vice President

1. The absence of the President, the First
Vice President shall assume the duties of the
President.

2. The First Vice President shall be the Director
Of Competition at the Mid-Winter Convention
And the GLSA Convention.

Section C. Second Vice President

1. In the absence of the President and the First
Vice President, the Second Vice President shall
assume the duties of President.

2. The Second Vice President shall assume the
duties of the First Vice President in his absence.

Section D. Sergeant at Arms

1. The Sergeant at Arms shall tile the door at all meetings.

2. He shall preserve order and decorum

3. He shall verify the credentials of all declaring
Themselves voting representatives.

Section E. Secretary

1. The Secretary shall receive all monies paid into
The Association and pay the same over to the
Treasurer, taking his receipt therefore.

2. He shall keep a regular account of the proceedings
of the Association.

3. He shall keep a regular account of his revolving
Petty cash account and submit his expenditures from
The same to the Treasurer for accounting and
reimbursement.

4. The Secretary shall be an ex-officio member of all
Committees.

5. The Secretary shall issue notices of all meetings
called by the President.

6. The Secretary shall forward all monies (except those
in his petty cash account) to the Treasurer within
fifteen (15) days of receipt.

7. The Secretary shall forward members' dues cards to
The Member Units within fifteen (15) days of receipt of the
Unit's dues.

8. The Secretary shall perform such other duties as pertain
To his office.

Section F. Treasurer

1. The Treasurer shall receive all monies from the
Secretary, keep a regular account of the same and pay
them out on the order of the President and the consent
of the Executive Committee.

2. The Treasurer shall render a financial report at the
Annual Meeting.

Article V1
Meetings

Section A. Annual Meeting

1. There shall be an Annual Meeting. The Annual
Meeting shall be held at the discretion of the
President at either the GLSA Convention or the
Mid-Winter GLSCUA Convention.

2. A quorum for the Annual Meeting shall consist
of not less than twenty-five (25) percent (25%) of the
voting delegates.

Section B. For the purpose of facilitating the transaction of business
At the Annual Meeting, voting shall be vested in the voting
Representative (s) of each member Clown Unit in good standing,
Members of the Executive Committee and members Emertii.

Section C. Special Meetings

1. Special meetings may be called by the President and
Three members of the Executive Committee.

Section D. Mid-Year Meetings

1. The GLSCUA Mid-Year meeting or Convention will
Be held at a location designated by the President for
The following purposes:

a. conducting Executive Board business
b. Presenting make-up and skit seminars and
Competition
c. holding competitions

2. Costs will be borne by the Temple Clown Unit hosting
A Mid-Winter Convention except where the Executive
Board votes additional allowances.

Article V11
Committees

Section A. Executive Committee/Board

1. The Executive Committee shall consist of the elected
officers of this Association, Past Presidents serving in
their three year capacity as Past President and Members
Emeritii.

2. The Executive Committee shall meet at such times as the
President and three members of the Committee determine.

3. Three members of the Executive Committee plus the
Secretary shall constitute a quorum of the Executive
Board.

4. The Executive Board shall exercise general supervision over
the affairs of the Association and shall consider such business
as is referred to it.

5. The Executive Board shall render reports on all matters it
considers.

6. All officers of the GLSA shall be members ex-officio of the
Executive Committee.

a. GLSA officers shall have no vote on matters of the
Executive Board unless such officer is a bona fide
Member of the Executive Board.

b. The Executive Committee shall serve as liaison with
the Imperial Divan and act in the manner set forth in
Article 11, paragraph (d)

Section B. Standing Committees

1. Commencing with his installation, the President shall
appoint the following standing committees: the members
of these committees whose members shall serve from
installation of officers to installation of officers.

a. Jurisprudence and Laws Committee

(1) The Jurisprudence and Laws Committee shall
receive all proposals to revise, alter or amend
these by-laws.

(2) It shall consider other legal questions or matters
and report the same in writing to the Executive
Committee.

(3) This Committee shall meet not less than one day
prior to the meeting of the voting delegates at the
Annual Meeting.

b. Registration and Credentials Committee

(1) The Registration and Credentials Committee
shall be responsible for examining voting member
credentials at the Annual Meeting, and to report on
the same to the Executive Committee.

(a) The Sergeant at Arms shall chair this Committee.

c. Information and Education Committee

(1) The Information and Education Committee shall
maintain such pertinent information pertaining
to clowning, its development, history and (current)
standards to better enable the members of this
Association to achieve its objectives.

(2) This Committee shall distribute a pamphlet, brochure
and/or periodical information material as set forth
in Article 11, paragraph (e)

(d) Finance and Auditing Committee

(1) The Finance and Auditing Committee shall examine
the books and vouchers of the Treasurer: such other
Committees, officers and members of the Association
who may have possession of funds of the GLSCUA.

(2) It shall annually recommend such appropriations
as may be necessary to meet the anticipated expenses
of the Association for the ensuring year.

(e) Membership

(1) The Membership Committee shall devise plans
to recruit Clown Units for membership
in the Association.

(f) Time and Place

(1) The Time and Place Committee shall
consist of the Second VP and appointed
others necessary to employ the objectives
of this Committee.

(2) This Committee shall be responsible for
securing lodging, meeting places,
competition sits, and such logistics as are
necessary to present at Annual Meeting
when there is no Host Temple available for
these responsibilities.

(a) The Second Vice President shall chair this
Committee.

(b) This Committee shall include at least one
member of the GLSCUA President's Clown
Unit.

(3) All committees shall consist of no less than
three members of the Association in good
standing.

(4) A majority of any committee (except the
Executive Committee) present shall
constitute a quorum.

(5) The President shall appoint one member of
Each committee as chairman except as otherwise
Provided in these by-laws.

(a) The Committee Chairman shall receive
All reports and/or other documents submitted
To the committee: call its members together to
Consider matters properly before it; preside at

All committee meetings and: report the work of
the committee to the Executive Committee or
Association as directed.

(6) A majority of any committee (except the
Executive Committee) present shall constitute
a quorum.

(7) The President shall appoint one member of each
Committee as chairman except as otherwise
Provided in these by-laws.

a. The Committee Chairman shall receive
all reports and/or documents submitted
to the committee; call its members
together to consider matters properly
before it; preside at all committee
meetings and; report the work of the
committee to the Executive Committee
or Association as directed.

Section C. Ad Hoc Committees

(1) Special, or ad hoc committees may be appointed by the
President at any time.

(2) Ad hoc committee's shall expire at the conclusion of the

Section D. International Shrine Clown Association representative

1. The junior Past President of the Association shall
Be the ISCA Representative for one year.

2. The ISCA Representative duties shall be liaison with
The ISCA.

Article V111
Dues and Initiation Fees

Section A. The initiation fee for Unit membership in the GLSCUA shall
be a one-time Twenty-five dollars, US ($25.00) fee per Unit and
shall be payable with the application for membership.

Section B. The annual per capita dues of the Association shall be
Established by the Executive Committee and payable on
January 1, each year. Dues shall cover the period from
January through and including December 31. Dues
received after March 31, will be assessed at an additional
two dollar and fifty cents ($2.50) US per capita.

1. Adjustments in dues shall be put on the floor at
the Annual Meeting and shall pass on the simple
majority of the voting delegates.

Section C. All dues collected by the GLSCUA from member clown units
Shall be used solely to advance the purposes outlined in
Article 11 of these by-laws.

Article 1X
Miscellaneous

Failure or refusal to comply with the provisions of the by-laws shall
Be grounds for review by the Executive Committee to determine if cause
shall exist. On a finding cause, the Executive Committee shall be empowered
To suspend or revoke the membership privileges of any member or Member
Unit.

Section B. Conduct of Business

1. Parliamentary Procedure shall be governed by
Roberts Rules of Order

Article X1
Amendments

Section A. Proposed changes in these by-laws shall be submitted to the
Secretary ninety (90) days prior to an Annual Meeting.

Section B. The Secretary shall distribute copies of said proposed changes
to each Member Clown Unit sixty (60) days in advance of an
Annual Meeting.

Section C. Proposed changes shall automatically become a stipulated
matter of New Business and must be acted upon at the
forthcoming Annual Meeting.

Section D. A two thirds (2/3) vote of the voting representatives shall be
Necessary for the adoption of any amendment to these by-laws.

Section E. By-laws changes adopted by the voting delegates shall take
Immediate effect.
